If you are contracting with HubSpot Canada Inc., then the following provisions (the “Canada - Jurisdiction Specific Terms”) apply to you and are included as part of the Agreement. In the event of a conflict between the ‘Canada - Jurisdiction Specific Terms’ and the terms otherwise set forth in this Agreement, the ‘Canada - Jurisdiction Specific Terms’ section will control.
1. COMPLIANCE WITH LAWS
1.1 The first sentence in the ‘Compliance with Laws’ section of the General Terms is replaced with the following:
"We will comply with all Canadian federal and provincial laws (where applicable) in our provision of the Subscription Service, the Consulting Services, and our processing of Customer Data."
1.2 In addition to the requirements in the ‘Compliance with Laws’ section of the General Terms, you will also comply with the sanctions programs administered by the Trade Controls Bureau of Global Affairs Canada, including compliance with the Export and Import Permits Act (Canada), the United Nations Act (Canada), the Special Economic Measures Act (Canada), and the Justice for Victims of Corrupt Foreign Officials Act (Canada).
You may also have compliance obligations under other Canadian privacy regulations such as Quebec Law 25 (also known as "The Privacy Legislation Modernization Act", formerly "Quebec Bill 64"). Please visit the HubSpot Trust Center for more information about our privacy and security program to complete any risk assessments.
2. CONTRACT FOR SERVICES
This Agreement is a contract for the provision of services and not a contract for the sale of goods. The provisions of the Personal Property Security Act (Ontario), or any substantially similar legislation as may be enacted by the federal government of Canada or by the government of a Province, will not apply to this Agreement.
3. ENGLISH VERSION
The parties have expressly required that this Agreement and any other contract, document, or notice relating thereto be drafted in the English language.
