HubSpot Payments Beta Terms

Thank you for participating in the HubSpot Beta Payments Program. These HubSpot Beta Payments Program Terms (“Payments Beta Terms”)  and our Beta Terms apply to and govern your participation in our Beta Payments Program (“Payments Beta”). By Participating in the HubSpot Beta Payments Program you agree to both this Payments Beta Terms and our Beta Terms. 

1. HubSpot’s Role

 You acknowledge that HubSpot is operating as: (i) payment account boarding; (ii) payment underwriting; and, (iii) payment data transmission service that helps you integrate with Stripe, the payment processor. 

The Processor is Stripe, Inc., organized under the laws of California, which is a technical services provider and may offer the services as an agent of one or more financial institutions in the United States. Stripe’s role is to accept and process ACH, credit or debit card payments with respect to your sales made through this Payments Beta. The processing and settlement of Transactions (as defined below) (“Payment Processing”) is carried out by the Processor and any of the Financial Services Providers under a separate Stripe Connected Account Agreement, including the United States Stripe Services Agreement and the applicable Financial Services Terms, and to the extent you use a payment method that is subject to additional terms, the Payment Terms (collectively, the “Processor Terms”). By accepting these Payments Beta Terms, you are  also accepting and agreeing to be bound by the Processor Terms, which is the legal agreement between you and the Processor. HubSpot is not a party to these terms. 

3. Your Customers

If prohibited by law, you will not impose any fee or surcharge on a customer that seeks to use an eligible debit or credit card.  You will provide an information or receipt to your customer at the conclusion of the Transaction that includes all information required under Payment Network Rules and applicable law.

It is your responsibility to obtain your customers’ consent to be billed for each transaction, in compliance with applicable legal requirements and Visa Europe Ltd., Visa U.S.A., Inc., Visa Canada Inc. and Visa International (collectively, “Visa”), MasterCard International Incorporated (“MasterCard”), American Express or other applicable Card networks’ (such networks being, collectively, the “Payment Networks”) payment rules (the “Payment Network Rules”).

4. Taxes

It is your responsibility to determine what, if any, taxes apply to the sale of your goods and services and/or the payments you receive in connection with your use of the Payments Beta. We are not obligated to, nor will we, determine whether Taxes apply, or calculate, collect, report, or remit any taxes to any tax authority, arising from any transaction.

5. Balances.

As part of connecting to the Payments Beta, you will be required to connect an external bank account to your HubSpot Account. In the event that your Stripe account has or incurs a negative balance, you agree to the following:

1. Your external bank account may be debited for any amounts owed.
2. Any functionality for the Payments Beta may be suspended.
3. We may terminate your continued participation in the Payments Beta. 

6. General
All Other terms and conditions of the HubSpot Beta Terms will continue to apply. In the event of conflict between these Payments Beta Terms or the HubSpot Beta Terms, these Payments Beta Terms shall control.

7.Confidentiality

The existence of these Payments Beta Terms are Confidential and are subject to the confidentiality terms in the HubSpot Beta Terms.
